Terms of Service

These Terms of Service govern your access to and use of the Sillops website, platform, and related services. They form an agreement between you (and the organization you represent) and Sillops. Please read them carefully — by using Sillops you agree to be bound by them.

This document is a plain-English template provided for transparency on our v1 site. It is not legal advice and has not been reviewed by counsel; the definitive, executed version governs any commercial relationship with Sillops.

Acceptance of terms

By creating an account, accessing, or using Sillops, you agree to these Terms and to our Privacy Policy. If you are using Sillops on behalf of an organization, you represent that you have authority to bind that organization, and "you" refers to both you and the organization.

If you do not agree with these Terms, you may not use the service.

Accounts

You are responsible for the accuracy of the information you provide and for keeping your login credentials secure. You must promptly notify us of any unauthorized use of your account.

Each organization's administrators control roles and permissions within their tenant. You are responsible for the actions taken under accounts you manage.

Acceptable use

You agree to use Sillops lawfully and not to misuse it — no attempting to breach tenant isolation or security controls, no reverse-engineering, no reselling access without permission, and no uploading content that is unlawful or infringes others' rights.

We may suspend access that threatens the security, integrity, or availability of the platform for other customers.

Subscriptions and billing

Paid plans are billed in advance on the cycle you select. Unless stated otherwise, fees are non-refundable and exclude applicable taxes. We may change pricing with reasonable advance notice, effective at your next renewal.

If a payment fails, we may suspend or downgrade your access until the balance is resolved. You can cancel at any time; cancellation takes effect at the end of the current billing period.

Intellectual property

Sillops and its underlying software, design, and documentation are owned by us and protected by intellectual-property law. These Terms grant you a limited, non-exclusive, non-transferable right to use the service, and nothing more.

You retain all rights to the data and content your organization puts into the platform. You grant us only the limited license needed to host, process, and deliver the service to you.

Data and privacy

Our handling of personal data is described in our Privacy Policy. Where we process personal data on your behalf, our Data Processing Addendum sets out the applicable terms and forms part of this agreement.

You are responsible for ensuring you have the necessary rights and consents for the data you enter into Sillops.

Warranties and disclaimers

We work hard to keep Sillops reliable, but the service is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the extent permitted by law.

We do not warrant that the service will be uninterrupted, error-free, or that it will meet every requirement.

Limitation of liability

To the maximum extent permitted by law, Sillops will not be liable for indirect, incidental, special, or consequential damages, or for lost profits or data, arising from your use of the service.

Our total liability for any claim relating to the service is limited to the amount you paid us in the twelve months before the claim arose.

Termination

You may stop using Sillops and close your account at any time. We may suspend or terminate access if you materially breach these Terms or use the service in a way that risks harm to others.

On termination, your right to use the service ends. We will make your data available for export for a reasonable period, after which it may be deleted as described in our Privacy Policy and DPA.

Governing law

These Terms are governed by the laws of the jurisdiction in which Sillops is established, without regard to conflict-of-law rules. Disputes will be resolved in the courts of that jurisdiction, unless applicable law requires otherwise.

Changes to these terms

We may update these Terms as the service evolves. When changes are material, we will update the date above and notify you in the app or by email. Continued use after an update means you accept the revised Terms.
